WHITE LABEL · PARTNER AGREEMENT
A licensing relationship without clear written terms on data, exit and continuity is a relationship built on trust alone, which is fine until it is tested. The four things that actually matter, term, exit, who owns the data, and what happens if we ever stop operating, are agreed in writing before launch, not discussed for the first time when something goes wrong.
TERM
Because a young market and a proven one genuinely call for different terms.
The length of the agreement is agreed alongside the territory and the pricing during step three of the process, not assumed from a standard template. It is written into the contract you sign, so both sides know exactly how long the arrangement runs and what happens as that term approaches its end, rather than discovering it later.
DATA OWNERSHIP
This is usually the first question that actually matters to a serious operator.
Everything generated by your business in your territory belongs to you. It can be exported in full, at any time, in standard formats, not a proprietary format designed to complicate leaving.
Your data is processed to operate the platform for your business, full stop. It is never used to improve another partner's business, benchmark you against a competitor, or train anything shared beyond your own instance.
EXIT
The terms are agreed before either side needs them, which is the only time to agree them fairly.
If the partnership stops working for either side, it ends on the notice period written into the agreement, with your data leaving alongside you in full. There is no penalty clause designed to make leaving costly, and no ambiguity about what a departing partner is entitled to take. The specific notice period is set in the agreement itself, because it should reflect the platform and the scale of the business built on it, not a number copied from an unrelated contract.
CONTINUITY
The question every serious operator should ask before committing, and rarely does.
The agreement includes source escrow and a continuity clause specifically for this. If Gigagrams were to stop operating, the escrowed code and documentation release to you under the terms set out in the agreement, so your business does not simply stop because ours did. This is written into the contract, not offered as a verbal assurance.
STRAIGHT ANSWERS
The data ownership one and the exit one are the two that matter most.
The term is set in the partnership agreement itself, agreed at the same time as the territory and the pricing, because a young market and a mature one genuinely call for different terms. It is written into the contract before either side signs, not left open-ended or decided later.
You do. Customer records, transactions and content generated in your territory belong to your business and can be exported in full at any time. We process that data to run the platform and for nothing else. One partner's data is never used to improve another partner's business.
You take your data with you in full, in standard formats, and the agreement ends on the notice period written into it. There is no penalty clause designed to trap you. If the partnership stops working for either side, the exit terms are agreed at the start rather than argued about later.
The agreement includes source escrow and a continuity clause, so a partner is never left with a platform nobody can run. The escrowed code and documentation release to you under terms set out in the agreement, so your business does not simply stop because ours did.
Twenty minutes on a call, then two weeks of research at our cost. If your market does not support it, we will tell you that instead of selling you a licence.
